Terms of service

These Terms of Service ("Terms") govern your use of the Danson AI SaaS platform, the dansonmarketing.co.uk website, and any related services (collectively, the "Services") provided by Danson Marketing Ltd ("Danson", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • Client — the business or legal entity that subscribes to Danson AI.
  • End-customer — individuals who interact with the Client's Danson AI agent.
  • Services — Danson AI SaaS, custom development work, and digital marketing services.
  • Subscription — a recurring paid plan to use Danson AI.

2. Service description

Danson AI is a multi-tenant SaaS platform providing AI-powered customer communication and automation, including:

  • Multi-channel AI agents (WhatsApp, Messenger, Instagram, web chat, phone).
  • Calendar and CRM integrations.
  • Payment processing via Stripe and PayPal.
  • A web-based admin dashboard.

We also offer custom software development, business process automation, digital marketing, and web development as separate engagements, subject to bespoke statements of work.

3. Account registration and responsibilities

  • You must be at least 18 years old and legally authorised to bind the Client entity.
  • You must provide accurate, current, and complete information and keep it updated.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must promptly notify us of any unauthorised access or security breach.

4. Acceptable use

You agree not to use the Services to:

  • Send unsolicited bulk messages (spam), whether via WhatsApp, Messenger, Instagram, email, or any other channel.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Violate any applicable law or the terms of any third-party platform, including but not limited to Meta's WhatsApp Business Messaging Policy, Messenger Platform Policies, and Instagram Platform Policies.
  • Process or transmit unlawful, fraudulent, defamatory, obscene, or infringing content.
  • Attempt to reverse-engineer, circumvent, or disrupt the Services.
  • Use the Services to provide a competing product to third parties without written permission.
  • Infringe the intellectual property rights of others.

We reserve the right to suspend or terminate accounts that violate this section.

5. Intellectual property

  • Our IP: Danson retains all rights, title, and interest in the Services, including software, design, and documentation. We grant you a limited, non-exclusive, non-transferable licence to use the Services during your subscription.
  • Your content: You retain ownership of all content you upload (FAQs, knowledge base, brand voice samples, etc). You grant Danson a licence to process this content solely to provide the Services.
  • Feedback: If you submit suggestions or feedback, you grant us a perpetual, royalty-free licence to use that feedback without obligation.

6. Third-party integrations

The Services rely on third-party platforms, including (but not limited to):

  • Meta Platforms — WhatsApp Business API, Messenger, Instagram Messaging.
  • Anthropic and OpenAI — LLM inference.
  • Stripe and PayPal — payment processing.
  • Google, Microsoft — calendar integrations.
  • HubSpot, Zoho, Pipedrive — CRM integrations.

Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or policies of third-party services. Changes to third-party APIs, pricing, or terms may affect the Services.

7. Data processing

For details on how we collect, use, and protect personal data, see our Privacy Policy, which forms part of these Terms.

Where Danson acts as a data processor on behalf of a Client (e.g. for end-customer conversations), a Data Processing Agreement ("DPA") is available on request and forms part of the subscription agreement.

8. Fees and billing

  • Subscription tiers: Basic (£300/month), Mid (£500/month), Full (£1000/month), and custom enterprise pricing. All prices are exclusive of VAT where applicable.
  • Billing: Subscriptions are billed monthly in advance via Stripe or PayPal on the date of activation.
  • Price changes: We may change pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance.
  • Refunds: Fees are non-refundable except where required by law. Pro-rata refunds may be issued at our discretion for service outages exceeding our SLA.
  • Late payment: Overdue accounts may be suspended. We may charge interest at the UK statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.

9. Service availability and SLA

We aim for 99.5% uptime measured monthly, excluding scheduled maintenance (announced at least 48 hours in advance) and force majeure events. Scheduled maintenance is typically performed outside UK business hours.

Service credits may be issued for sustained outages per tier-specific SLA terms.

10. Limitation of liability

To the maximum extent permitted by law:

  • The Services are provided "as is" and "as available" without warranties of any kind.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
  • Our total aggregate liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
  • Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

11. Indemnification

You agree to indemnify and hold Danson harmless from any claims, damages, or expenses arising from: (a) your breach of these Terms; (b) your misuse of the Services; (c) content you upload or process via the Services; (d) your violation of third-party rights.

12. Termination

  • By you: you may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • By us: we may suspend or terminate your account for material breach, non-payment, or conduct that risks the security or reputation of the Services — with notice where reasonable.
  • Data on termination: upon termination, your data is retained for 30 days for recovery purposes and then permanently deleted, subject to statutory retention obligations.

13. Changes to the Services

We may modify, improve, or discontinue parts of the Services. We will provide reasonable notice of material adverse changes. We will not remove core features paid for under your current subscription tier without offering a comparable replacement or refund.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice, and your continued use of the Services after the effective date constitutes acceptance. The "Last updated" date will reflect the most recent revision.

15. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before escalating, both parties agree to attempt resolution in good faith via direct written communication within 30 days.
